The Site is operated by Good Connection Limited ("we" or “us”). We are registered in England and Wales under company number 06795578 and have our registered office at Chenies Okewood Hill, Nr Ockley, Dorking, Surrey, United Kingdom RH5 5NB.
We expressly reserve the right, in our sole discretion, to refuse to accept, for any or no reason, with or without prior notice or explanation and without liability, any requests to become a User of The Site.
OUR AGREEMENT WITH YOU AND Accessing The site
On the condition that you comply with the terms of the User Agreement, we grant you a limited, non-exclusive, revocable, non-assignable licence to access The Site.
The User Agreement shall remain in full force and effect whilst you are a User. You may terminate your agreement with us under the User Agreement at any time and for any reason.
We may terminate our agreement with you under the User Agreement at any time and for any or no reason, with or without prior notice or explanation and without any liability.
If you choose, or you are provided with, a user identification name, password or any other information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification name or password, whether chosen by you or allocated by us, at any time, if in our opinion you have not complied with any of the provisions of the User Agreement.
The purpose of the website is to provide a service (the “Service”) to facilitate networking (1) with your family, (2) on a social basis and (3) on a professional basis with other business users on an ethical basis whilst raising funds for designated charities.
In accordance with paragraph 4.1 we shall provide (for so long as we continue to provide the Service) an online platform at The Site and we will seek to improve and update the Service as we, in our sole discretion, deem necessary.
We do not guarantee that the Service will function without interruption or errors and we will not be liable in any way if, for any reason, The Site is unavailable at any time for any period. We may interrupt the Service from time-to-time for the purposes of carrying out maintenance, updates, or technical or other improvements and hereby expressly disclaim any and all liability for damages caused by such interruption.
We disclaim all liability for the failure of the Service due to the malfunctioning of The Site for any reason including, without limitation, inappropriate equipment, disturbances caused by the Internet Service Providers, the saturation of the Internet or for any other reason not linked to, or caused by, us.
We do not have any obligation to verify the identity of the people who apply to become Users, nor do we have any obligation to monitor the use of the Service nor to supervise the content which has been provided by Users. As such we expressly exclude all liability for identity theft or any other misuse of your identity or data.
All and any content displayed on The Site is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, we expressly exclude:
All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity including without limitation any warranties of merchantability or fitness for purpose.
Any liability for any direct, indirect or consequential loss or damage incurred by any User in connection with The Site or in connection with the use, inability to use, or results of the use of The Site, any websites linked to it and any materials posted on it, including, without limitation any liability for:
loss of income or revenue;
loss of business;
loss of profits or contracts;
loss of anticipated savings;
loss of data;
loss of goodwill;
wasted management or office time; and
for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, provided that this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above.
This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.
your obligations and Prohibited uses
You are responsible for making all arrangements necessary to enable you to have access to The Site including providing all equipment and software necessary to connect to The Site. Where a particular element of the Service includes a mobile element you are responsible for providing a mobile telephone handset or other mobile device which is capable of connecting to The Site.
You are also responsible for ensuring that all persons who access The Site through your internet connection are aware of these terms, and that they comply with them.
You represent and warrant that
You are over the age of 18.
You have full power and authority to enter into the User Agreement, and by entering into the User Agreement you do not breach any other agreement to which you are a party.
You have never previously been precluded by us from accessing The Site whether through your prior breach of the User Agreement or otherwise.
You will access and use The Site only for lawful purposes.
In addition, you will not use The Site:
In any way that breaches any applicable local, national or international laws or regulations.
In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
For the purpose of harming or attempting to harm minors in any way.
To send, knowingly receive, upload, download, use or re-use any material which does not comply with the required standards of content set out below.
To post or transmit, or procure the sending of, any unsolicited or unauthorised advertising, promotional or commercial communications or any other form of similar solicitation (spam).
To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
You also agree:
Not use The Site to engage in unlawful multi-level marketing such as a pyramid scheme.
Not to access without authority, interfere with, damage or disrupt:
any part of The Site;
any equipment or network on which The Site is stored;
any software used in the provision of The Site; or
any equipment or network or software owned or used by any third party.
Not to reverse engineer or decompile or otherwise attempt to obtain the source code used by us for the provision of The Site.
Not to use information or any content or data viewed on The Site or derived from the Service to compete with The Site.
Not to hold yourself out as us, or to hold yourself out, or state or imply that you are licensed by, authorised, affiliated, approved or otherwise endorsed by us unless we have formally (in writing) stated this to be the case.
Not to deep-link to The Site for any purpose unless we have expressly authorised you in writing to do so, apart from for the purpose of promoting your profiles or a group you are at least a member of within The Site.
Not to use manual or automated software, scripts, robots or other devices or processes to access, scrape, crawl or spider any pages contained in The Site.
Not to use automated methods to add contacts or to send messages.
Not to frame or mirror or otherwise simulate the appearance of The Site.
Not to interfere or override any security component or aspect of The Site.
Not to infringe the intellectual property rights owned by us including, without limitation, the copyright in the software or in the content of The Site, or our registered trade marks.
Not to infringe the intellectual property rights of Users or any other person in relation to material posted or uploaded to The Site.
Not to upload, post, transmit, e-mail or otherwise make available any material which does not comply with the Standards of Content ( set out below):

These Standards of Content apply to any and all information, materials and content which you upload, post or otherwise contribute to The Site (“Your Content”), and to any interactive services associated with it.
You must choose carefully the information, materials and content which you post in The Site and which becomes Your Content as a result. You are solely responsible for Your Content and you agree that Your Content shall comply to the Standards of Content set out in this paragraph.
You agree that Your Content shall:
Comply with applicable law in the UK and in any country from which it is posted; and
Where Your Content constitutes your opinions, those opinions shall be genuinely held.
Your Content must, and will, not:
Contain any material which is defamatory.
Contain any material which is obscene, offensive, hateful or inflammatory.
Contain or promote sexually explicit material.
Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
Infringe any copyright, database right, trade mark or any other intellectual property right of any other party.
Be likely to deceive any person.
Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
Promote any illegal activity.
Be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety.
Be likely to harass, upset, embarrass, alarm or annoy any other person.
Misrepresent your current or previous employment positions or your qualifications or your professional or personal affiliations or professional qualifications.
Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.
Give the impression that the content emanates from us, if this is not the case.
Include information which you do not have the right to disclose or make available under any law or contractual or fiduciary relationship.
Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.
Uploading CONTENT to the site
Whenever you make use of a feature such as the Board, Bulletin, the blogs or our private in-site e-mail, which allows you to upload material to The Site, or to make contact with other Users, you must comply with the Standards of Content set out in the User Agreement. You warrant that any such content does comply with those standards, and that you specifically agree to indemnify us for any breach of the said warranty.
Any of Your Content which is available for other Users to see shall be (and shall be deemed to be) non-confidential and non-proprietary, and you specifically grant us a non-exclusive, transferable, sub-licensable worldwide royalty-free licence to use the intellectual property rights of Your Content. We have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to The Site constitutes a violation of their intellectual property rights, or of their right to privacy.
We do not claim any ownership rights in Your Content or in any elements of it. After posting Your Content, on, or in connection with the Services, you continue to retain any such rights that you may have in Your Content, although in accordance with the licence granted to us in the last paragraph you grant us the right to use, modify, delete from, add to, publically perform, display, reproduce, and distribute such of Your Content as we deem necessary, solely on, through, or in connection with the Services. We are not permitted to sell or otherwise distribute Your Content outside of the Services.
Once Your Content is removed from The Site the said licence will terminate. You understand and agree that once Your Content is distributed to or posted to another User or to another website we are under no obligation to delete or ask other Users or any other person to delete that content, which may therefore continue to appear and be used indefinitely.
We will not be responsible, or liable to any third party, for the accuracy of any content posted by you or any other User of The Site.
We have the right to reject or remove any content or posting you make on The Site if, in our sole opinion, such material does not comply with the Standards of Content set out in the User Agreement.
Suspension and termination
We will determine, in our sole discretion, whether there has been a breach of the User Agreement. When a breach has occurred, we may take such action as we deem appropriate.
We will not tolerate the use of extreme language by Users within The Site, and it is likely that a User’s right to use The Site will be withdrawn if such language is used.
Failure to comply with the terms of the User Agreement constitutes a material breach of the User Agreement upon which you are permitted to use The Site, and may result in our taking all or any of the following actions:
Immediate, temporary or permanent withdrawal of your right to use The Site.
Immediate, temporary or permanent removal of any of Your Content.
Issue of a warning to you.
Legal proceedings against you resulting from the breach if necessary.
Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
We shall not be liable for our actions taken in response to breaches of the User Agreement. The responses described herein are not limited, and we may take any other action we reasonably deem appropriate.
One of the features of The Site is that Users are able to, and are encouraged to, nominate and support a UK registered charity at no cost to the User. You understand and accept that it is the charity’s sole decision whether it wishes to, or is prepared to, be the nominated charity of a particular User. As such, any of the said charities may refuse, at its sole discretion, to be associated with any particular User, and whether pursuant to a request from a charity or otherwise, we shall decline the request of a User to support the said charity. Alternatively, whether upon request from a charity or otherwise, we shall be entitled to amend and retract Users’ profiles to remove references to the said charity without explanation or without further notice to the said User.
Viruses, hacking and other offences
You must not misuse The Site in any way, and specifically, as set out in paragraph 5.3 you must not knowingly introduce harmful programs or code or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to The Site, the server on which The Site is stored or any server, computer or database connected to The Site. You must not attack The Site via a denial-of-service attack or a distributed denial-of service attack.
By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use The Site will cease immediately.
We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of The Site or to your downloading of any material posted on it, or on any website linked to it.
Linking to the site
You may link to our home page, apart from for the purpose of promoting your profiles(s) or a group you are at least a member of within The Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
The Site must not be framed on any other site, nor may you create a link to any part of The Site other than the home page. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the terms of this User Agreement.
Links from the site
Where The Site contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.
We may revise the User Agreement at any time by amending this page. You are required to check this page from time to time to take notice of any changes we make, as they are legally binding on you. We will notify you of the changes to the User Agreement by posting the said amendments in this page.
Intellectual property rights
Apart from Your Content (in respect of which you warrant that you are the owner or are permitted to use the said content) we are the owner [or the licensee] of all intellectual property rights in The Site, for example in the layout, and other material we have posted on it (“Our Content”). All of our rights in the said intellectual property are reserved.
We hereby grant you a limited, revocable, non-sub-licensable licence to reproduce and display Our Content (excluding any software code) solely for your personal use in connection with viewing The Site and using the Services.
You must not use any part of Our Content derived from The Site for any commercial purposes without obtaining a prior written licence to do so from us [or our licensors].
We respect the intellectual property rights of others, and require that Users do the same. In accordance with the terms of paragraph 5 of the User Agreement you have agreed not to upload, post, email, post, transmit or otherwise make available any material that infringes any intellectual property rights of any other party.
Once we have been put on notice of an infringement of the intellectual property rights of others, it is our policy to take down the said content. If you become aware that your work has been copied and posted on or through The Site in a way that constitutes copyright infringement, please send us a notification of claimed infringement which includes the following information:-
Identification of the copyright work allegedly infringed.
Identification of the alleged infringing content together with information sufficient to permit us to locate the content on The Site.
Sufficient information to permit us to contact you, such as a telephone number or email address together with your home address.
A statement by you that you have a good faith belief that the disputed use is not authorised by the copyright owner and is in fact an infringement.
Confirmation by you that the above information is accurate and that you are the copyright owner or are authorised to act on the copyright owner’s behalf.
Reliance on information posted
Commentary and other content posted on The Site are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to The Site, or by anyone who may be informed of any of its contents.
The site changes regularly
We aim to update The Site regularly, and may change Our Content at any time. If the need arises, we may suspend access to The Site, or close it indefinitely. Any of the content on The Site may be out of date at any given time, and we are under no obligation to update such content.
Information about you and your visits to the site
Jurisdiction and applicable law
The English courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to The Site.
The rights in the trade mark “Good Connection” are owned by us.
If any provision (or part of any provision) in the User Agreement is invalid, illegal or unenforceable, that provision or part provision shall, to the extent required, be deemed to be deleted and the validity and enforceability of the other provisions in the User Agreement shall not be affected.
third party rights
A person who is not a party to the User Agreement shall have no rights under or in connection with it.
A waiver of any right or remedy under the User Agreement is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default. No failure or delay by a party to exercise any right or remedy provided under the User Agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.
We may at any time assign, transfer, charge, subcontract or deal in any other manner with all or any of our rights or obligations under the User Agreement.
You may not assign, transfer, charge, subcontract or deal in any other manner with all or any of your rights or obligations under the User Agreement without our prior written consent.
